Thank you for choosing BloomX! These Terms of Use govern your access to and use of our website and mobile application in compliance with the Nigeria Data Protection Act. By accessing or using our platform, you agree to be bound by these terms. If you do not agree to these terms, please do not use our platform.

Website Information:

BloomX is a mobile self-checkout platform. We make checkout at malls and supermarkets seamless. We help you cut down shopping time by eliminating queues. We partner with payment service providers (GetAnchor, Monnify) to provide smooth payments and checkouts.

  1. Permitted use statement

    2. Use of Platform

    • You must be at least 18 years old to use our platform. By using our platform, you represent and warrant that you are at least 18 years old.
    • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
    • You agree to use our platform only for lawful purposes and in accordance with these terms and all other laws as prescribed by the Federal Republic of Nigeria.
  2. Prohibited use statement

    3. You agree not to use the BloomX self checkout website/application for any purpose that is unlawful or prohibited by this agreement. This prohibition includes, but is not limited to:

    • Fraudulent Activity: Using the Service to purchase items with invalid or stolen payment methods or attempting to bypass security measures.
    • Misrepresentation: Providing false or misleading information during account creation, checkout, or when interacting with customer service.
    • Tampering: Interfering with the functionality of the Service, including the self-checkout process, weight scales, or barcode scanners.
    • Excessive Use: Using the Service in a manner that disrupts the normal operation for other users or creates an undue burden on our systems.
    • Prohibited Items: Attempting to purchase items through the Service that are age-restricted, illegal, or otherwise prohibited by our store policy.
    • Sharing Accounts: Sharing your account credentials with others or allowing unauthorized access to the Service.
    • Harmful Content: Uploading or transmitting any content that is offensive, threatening, defamatory, or otherwise harmful.
    • Unauthorized Access: Attempting to gain unauthorized access to the Service, user accounts, or other restricted systems.
    • Software Exploitation: Using any software or tools to exploit vulnerabilities in the Service.

      • We reserve the right, at our sole discretion, to terminate your access to the Service for any violation of this Prohibited Use Statement. We may also pursue any legal remedies available to us, including civil and criminal charges.

    • You may not modify, reproduce, distribute, display, or create derivative works of any content or materials on our platform without our prior written consent.
  5. User Content
    • You may have the opportunity to submit or upload content to our platform, such as product reviews or comments. By submitting or uploading content, you grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content.
    • You represent and warrant that you own or have the necessary rights and permissions to submit or upload any content to our platform, and that such content does not violate any third-party rights or the Nigeria Data Protection Act.
  6. Limitation of Liability
    • To the fullest extent permitted by law, we disclaim all warranties, express or implied, regarding our platform and its content, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
    • In no event shall BloomX or its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of our platform.
  7. Indemnification

You agree to indemnify, defend, and hold harmless BloomX Limited, its officers, directors, employees, agents, licensors, and suppliers (collectively, the "Indemnified Parties") from and against any and all claims, losses, liabilities, expenses, including attorney's fees, costs, and damages arising out of or in any way connected with:

    • Your use of the self checkout BloomX platform
    • Your violation of this Agreement or any applicable laws or regulations
    • Your negligence or misconduct in connection with the Service
    • Your use of the Service to purchase prohibited items
  8. Disclaimer of Liability:

    9. The Service is provided "as is" and "as available" without warranty of any kind, express or implied. The Indemnified Parties disclaim all warranties, including, but not limited to, warranties of merchantability, fitness for a particular purpose, and non-infringement.

    The Indemnified Parties do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. You understand and agree that you download from, or otherwise obtain content or services through, the Service at your own discretion and risk.

    You are solely responsible for any damage to your computer system or other device or loss of data that results from the use of the Service.

    The Indemnified Parties shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in any way connected with your use of the Service, delays, inaccuracies in content, or errors, omissions or other interruptions in the Service.

  9. Limitation of Liability:

In no event shall the indemnified parties be liable for any damages (Including without limitation, direct, indirect, incidental, special, consequential, or exemplary damages) Arising out of or in any way connected with your use of the service, or for any information, products or services obtained through the service, even if the indemnified parties have been advised of the possibility of such damages.

  10. Disruption of Services

    11. The BloomX self checkout platform is provided "as is" and we cannot guarantee uninterrupted or error-free service. We may experience occasional periods of downtime for maintenance, upgrades, or other unforeseen circumstances.

    The Indemnified Parties do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. You understand and agree that you download from, or otherwise obtain content or services through, the Service at your own discretion and risk.

    You are solely responsible for any damage to your computer system or other device or loss of data that results from the use of the Service.

    The Indemnified Parties shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or in any way connected with your use of the Service, delays, inaccuracies in content, or errors, omissions or other interruptions in the Service.

  11. Length and Termination of Service
    1. Term:

      This Agreement ("Agreement") commences on the date you first access or use the BloomX self checkout platform effect from May 1, 2024 and continues until terminated by you or us in accordance with this Agreement.

    2. Termination by You:

      You may terminate this Agreement at any time by ceasing to use the Service.

    3. Termination by Us:

      We may terminate this Agreement, or suspend or restrict your access to the Service, at any time, with or without cause, upon written notice to you. We may also terminate this Agreement immediately, without notice, if you violate any material provision of this Agreement.

    4. Termination Consequences:

      Upon termination of this Agreement, your right to access and use the Service will immediately cease. We may also delete any of your data or content stored on the Service.

    5. Survival:

      The following provisions will survive the termination of this Agreement:
      Our rights and remedies for any breaches of this Agreement that occurred prior to termination.

    6. Renewal & Transaction Fee (Optional):

      We charge a transaction fee of ₦50 - ₦200 Naira per transaction via our platform (subject to review at our discretion)

    17. We may update these Terms of Use from time to time by posting a new version on our platform. Your continued use of our platform after any changes indicates your acceptance of the revised terms.
